1. Applicability适用性
1.1 The present General Conditions of Sale and Supply (“GCS”; version as available at [insert weblink] on the date of confirmation by DKSH) shall govern all orders (“Orders”) placed with [DKSH (Shanghai) Ltd., DKSH (Shanghai) International Trade Ltd., DKSH Performance Materials China Ltd, and DKSH RB Performance Materials (Shanghai) Ltd.] (“DKSH”) by the Customer (“Customer(s)” means each person or entity that enters into an agreement with DKSH about the supply of Products or provision of Services by DKSH to Customers) for products (“Products”) or services (“Services”), whether or not customized, to the exclusion of all other terms. Deviations from these GCS – in particular any application of the purchasing terms and conditions of Customers of DKSH – require DKSH‘s explicit written acceptance. Supply of Products, provision of Services or acceptance of payments without reservation shall not constitute DKSH’s acceptance of conditions varying from these GCS.
本《销售及供应通用条款》(“通用条款”,以DKSH确认订单之日[插入网址]所载版本为准)适用于客户(“客户”指与DKSH就产品供应或服务提供达成协议的自然人或法人)向[大昌洋行(上海)有限公司, 大昌华嘉(上海)国际贸易有限公司, 大昌华嘉化学国际贸易(上海)有限公司, 大昌华嘉惠正行化学(上海)有限公司](“DKSH”)下达的所有产品(“产品”)或服务(“服务”)订单(“订单”),无论该产品或服务是否定制,并排除任何其他条款的适用。凡有对本通用条款的偏离——特别是客户采购条款的适用——须经DKSH明确书面同意方可生效。DKSH在未作保留的情况下提供产品、服务或接受付款,并不视为其接受任何与本条款不一致的条款。
2. Offers/contracts 要约/合同
2.1 A contract shall only be formed and entered into force upon the issue of DKSH’s written order confirmation (including e-mail) or the execution of an order by DKSH.
合同仅在DKSH发出书面订单确认(包括电子邮件)或实际履行订单后方视为成立并生效。
2.2 No order may be canceled unless DKSH consents to such cancellation in writing (including e-mail).
任何订单未经DKSH书面同意(包括电子邮件)不得取消。
2.3 If the Customer requests short term delivery/performance to which DKSH agrees, the Customer accepts that the Orders together with these GCS shall form the basis of the respective contract.
若客户要求DKSH在短期内交付产品或提供服务,且DKSH同意该请求,则客户同意:订单连同本通用条款应构成相关合同的依据。
3. Purchase price/payment 购买价格/付款
3.1 Unless otherwise agreed, all prices quoted by DKSH shall be understood in the currency as specified in the respective contract between the Customer and DKSH and net EXW (Incoterms as in force at the time of the conclusion of a contract). All prices for Services shall be as provided in the contract.
除非另有约定,DKSH所报所有价格应以客户与DKSH之间相关合同中指定的货币为准,并为工厂交货净价(EXW,适用合同签订时有效的《国际贸易术语解释通则》)。所有服务费用应以合同中列明的金额为准。
3.2 Value-added tax shall be payable separately in the statutory amount in effect on the invoice date.
增值税应根据开票日适用的法定税率另行支付。
3.3 Unless otherwise agreed, the prices do not include additional charges, e.g. for packing, transport, freight or customs duties, which may be charged in addition to the price quoted.
除非另有约定,报价不包含额外费用,如包装费、仓储物流费、运费或关税等,这些费用可在报价基础上额外收取。
3.4 DKSH reserves the right to modify prices before shipment in case of substantial changes to the respective basis of calculation (in particular cost of materials and work as well as exchange rate fluctuations etc.) between the conclusion of a contract and the agreed date of delivery. The Customer will be informed about such price changes, if any, as soon as possible.如在合同签订与约定交货日期之间,构成价格计算基础的要素发生重大变化(特别是材料和人工成本、汇率波动等),DKSH保留在发货前调整价格的权利。如有此类价格变动,DKSH将尽早通知客户。
3.5 Unless otherwise agreed by the Customer and DKSH in writing, the Customer shall effect payment to DKSH within 30 (thirty) days of the date of the invoice (“Due Date”), without any right of set-off or counterclaim by the Customer.
除非客户与DKSH另有书面约定,客户应于发票日期起30(三十)日(“到期日”)内完成付款,不得以任何形式的抵销或反诉为由延迟付款。
3.6 Unless otherwise agreed by the Customer and DKSH in writing, if payment has not been received by the Due Date, late interest shall be applied automatically without prior notice at the applicable Loan Prime Rate (LPR) published by the People’s Bank of China from the Due Date until payment in full has been received. DKSH also reserves the right to file further claims for losses incurred through the payment default e.g. lawyer costs, administration fees etc.
除非客户与DKSH另有书面约定,若客户未在到期日前付款,逾期利息将无需提前通知而自动计收。逾期利率按照到期日当期中国人民银行同期贷款市场报价利率(LPR)计算,直至全部款项结清为止。DKSH保留因客户逾期付款而产生的其他损失(例如律师费、行政费用等)提出索赔的权利。
3.7 Notwithstanding anything to the contrary herein or in a contract between DKSH and the Customer, DKSH may (a) treat any contract as repudiated and/or suspend deliveries of Products and/or performance of Services without liability to the Customer, (b) claim damages from the Customer, and (c) accelerate and make immediately due the payment of any outstanding sums in case of the Customer’s bankruptcy, insolvency, moratorium, reorganization or any other situation that, in DKSH’s sole discretion, adversely affects the financial position of the Customer.
即使本条款或DKSH与客户之间的合同有任何相反的规定,DKSH仍可(a)将任何合约视为已被推翻及/或暂停交付产品及/或暂停履行服务,而无须对客户承担任何责任;(b)向客户索偿;及(c)在客户破产、无力偿债、暂停还款、重组或任何其他DKSH认为对客户的财务状况有不利影响的情况下,加快及立即支付任何未清偿款项。
4. Transfer of benefits and risks 利益和风险的转移
4.1 The transfer of benefits and risks to the Customer shall occur according to the provisions of the respective contract and the Incoterms as specified therein.
向客户转移利益和风险应根据相关合同的规定和适用的《国际贸易术语解释通则》进行。
5. Delivery 交付
5.1 DKSH will use reasonable endeavors to deliver Products and/or perform Services by the dates set forth in the relevant contract, but such dates shall be treated as approximate only. DKSH shall notify the Customer as soon as practicable in case of delay.
DKSH将尽合理努力按照相关合同中约定的日期交付产品和/或提供服务,但该等日期仅为预估时间。若发生延迟,DKSH应尽快通知客户。
5.2 The Customer shall have no right to cancel the respective contract and/or order.
客户无权取消合同和/或订单。
5.3 Unless otherwise agreed by the parties in writing, partial shipments or partial deliveries are permitted.
除非双方另有书面约定,否则允许分批装运或分批交付。
5.4 Discrepancies in quantities of up to 10%, calculated on the basis of the entire quantity to be delivered and not the individual partial quantities actually delivered, shall be permissible.
允许在交付的整批总量而不是实际交付的个别部分数量的基础上计算最多10%的数量误差。
5.5 If the Customer fails to accept delivery of Products, DKSH may in particular, but not exclusively (i) store Products and charge the Customer for the costs of storage, or (ii) upon reasonable notice to the Customer, sell Products at the price readily available and charge the Customer for any difference between the contract price and the price actually realized, plus storage and selling costs.
如果客户未能接受产品交付,DKSH有权(但不限于)采取以下措施:(i)对产品进行储存,并向客户收取储存费用;或(ii)在向客户合理通知后,将产品按当时市场价格出售,并向客户收取合同价格与实际出售价格之间的差额,以及储存和销售产生的费用。
6. Retention of title所有权保留
6.1 Products sold by DKSH remain DKSH’s property until DKSH’s claims for payment and other rights against the Customer resulting from any contract within the framework of the business relationship between DKSH and the Customer have been satisfied (“Reserved Goods”). The Customer shall support DKSH with all measures necessary to protect ownership of DKSH; by concluding a contract, the Customer in particular allows DKSH to carry out registrations and reservations in public registries, books and the like according to the applicable laws of a country and to comply with all respective formalities at the cost of the Customer. By agreeing to these GCS, the Customer consents upon request to execute and furnish to DKSH any and all documentation necessary for the perfection and maintenance of DKSH’s security interest in the Reserved Goods.
在DKSH与客戶之间的业务关系框架内的任何合同所产生的DKSH对客户的付款要求及其他权利得到满足之前,DKSH出售的产品仍属DKSH所有(“保留所有权货物”)。客户应协助 DKSH 采取一切必要措施以保护其所有权;客户在签署合同时,特别同意 DKSH 可根据相关国家的适用法律,在公共登记册、账簿及类似文件中进行登记和备案,并履行所有相关手续,其费用由客户承担。客户一旦同意本通用条款,即同意在 DKSH 提出请求时,签署并向 DKSH 提交一切为实现和维持 DKSH 对保留所有权货物的担保权益所必需的文件。
6.2 For as long as a Retention of Title is in force, the Customer shall handle the Products in such a way that they remain identifiable as DKSH’s property. The Customer shall maintain the Products and, following delivery, insure them against all customary risks, both at its own expense.
在所有权保留的有效期间,客户应妥善保管产品,以确保产品始终可被识别为 DKSH 的财产。客户应在交付后对产品进行维护,并自费投保,以覆盖一切通常风险。
6.3 In the event of any failure on the part of the Customer to pay DKSH on time, DKSH reserves the right of immediate repossession of all Products delivered. The Customer hereby grants DKSH and its employees, agents or subcontractors the irrevocable right to enter any and all premises in which Products are located, without prior notice, for this purpose.
若客户未按时向 DKSH 支付货款,DKSH 有权立即收回其已交付的全部产品。为此目的,客户在此不可撤销地授权 DKSH 及其员工、代理或分包商在无需提前通知的情况下,进入产品所在地的所有场所。
6.4 If the Customer processes, combines or mixes the Reserved Goods with other goods, DKSH acquires joint title pro rata, to that part of the goods representing the invoiced value of the Reserved Goods in relation to the total value of the other goods that have been processed, combined or mixed.
若客户对保留所有权货物进行加工、组合或混合,DKSH 将按比例获得共有权,其比例依据保留所有权货物的发票价值与加工、组合或混合后其他货物的总价值之间的比例关系确定。
6.5 If the Reserved Goods are combined or mixed with products of the Customer or of any third party to a new product of which the Reserved Goods represent an ancillary part, the Customer hereby and forthwith assigns all its rights with regard to such new products to DKSH. If the Customer combines or mixes the Reserved Goods with products of any third party to a new product in return for compensation, the Customer hereby and forthwith assigns to DKSH its right to compensation against such third party.
若保留所有权货物与客户或第三方的产品组合或混合形成新的产品,且保留所有权货物仅为其中的附属部分,客户在此立即将其对该新产品的全部权利转让给 DKSH。若客户将保留所有权货物与第三方产品组合或混合,并因此获得报酬,客户在此立即将其针对该第三方的索赔权转让给 DKSH。
6.6 The Customer shall be entitled to resell DKSH’s Reserved Goods in the ordinary course of its business subject to DKSH’s retention of title. If, upon such resale, the Customer does not receive the full purchase price in advance or upon delivery of such goods, the Customer shall agree on retention of title with its customer in accordance with these conditions. The Customer hereby and forthwith assigns to DKSH its claims arising from such resale and its rights arising from the said agreement on retention of title. Upon DKSH’s request, the Customer shall give notice of such assignment to its customer(s) and provide DKSH with all information and documentation necessary to enforce DKSH’s rights against those customers. Notwithstanding such assignment, the Customer shall be entitled to collect the claims arising from such resale as long as the Customer fulfils its obligations and liabilities towards DKSH.
客户在其正常业务过程中,有权转售 DKSH 的保留所有权货物,但须受 DKSH 所保留所有权的约束。若客户在转售时未能在交货前或交货时收取全部货款,客户须与其客户约定保留所有权条款,且该条款应符合本条款规定。客户在此立即将其因该等转售而产生的索赔权及其基于所述保留所有权协议产生的权利转让给 DKSH。经 DKSH 要求,客户应将该转让事项通知其客户,并向 DKSH 提供为行使其权利所必需的所有信息与文件。尽管已作转让,在客户履行其对 DKSH 的义务和责任的前提下,客户仍有权就该等转售索赔款项进行收取。
6.7 Should the total amount of security interests granted to DKSH exceed the total amount of DKSH’s claims, DKSH shall, upon the Customer’s request, release individual securities which DKSH deems appropriate. DKSH’s invocation of retention of title shall not imply withdrawal from the pertaining contract, unless DKSH expressly issues prior written notice of this.
若授予 DKSH 的担保权益总额超过 DKSH 索赔总额,DKSH 应在客户提出请求时,释放其认为适当的个别担保。DKSH 主张其所有权保留权利,并不等同于解除相关合同,除非 DKSH 以书面形式明确表示解除。
7. Packaging material 包装材料
7.1 DKSH shall not take back packaging and transport material unless a legal duty to do so exists under applicable law.
除非适用法律规定 DKSH 有义务回收包装和运输材料,否则 DKSH 无需回收该等材料。
7.2 The Customer agrees to dispose of the packaging material at its own expense.
客户同意自费处理包装材料。
8. Inspection 检查
8.1 Immediately upon delivery of Products and on completion of performance of Services, the Customer shall inspect the Products/Services for defects and deficiencies.
产品交付和服务履行完毕后,客户应立即检查产品/服务是否存在缺陷和不足。
9. Complaints/Notification of defects 投诉/ 缺陷通知
9.1 Unless otherwise agreed by the parties in writing, the Customer must notify DKSH of any complaints about the delivered Products and/or Services, in particular of any shortages or defects, promptly upon delivery and in no event later than fourteen (14) days of delivery of Products and/or performance of Services or, in case of hidden defects, immediately after their discovery and at the latest within six (6) months of delivery of Products and/or performance of Services. In case of noncompliance with this provision, the Products and Services are deemed to be approved and accepted by the Customer and all rights and claims related to such Products and/or Services shall be deemed waived.
除双方另有书面约定外,客户必须在交付产品和/或服务提供后立即通知 DKSH 任何有关产品和/或服务的投诉,特别是有关数量短缺或存在缺陷的情况,且最迟不得超过产品交付和/或服务履行后的十四(14)天。如属隐藏缺陷,客户应在发现后立即通知 DKSH,且最迟不得超过产品交付和/或服务履行后的六(6)个月。若客户未遵守本条规定,则视为客户已接受并认可相关产品和服务,并放弃与该等产品和/或服务相关的所有权利和索赔。
10. The Customer’s rights in case of defects 产品存在缺陷时客户的权利
10.1 Subject to the limitations on its liability set out herein, and unless otherwise agreed in writing, DKSH warrants that the Product shall comply with the specifications provided in the relevant contract. DKSH warrants that the Services shall be performed with reasonable skill and care. SUCH WARRANTIES ARE PROVIDED TO THE EXCLUSION OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, IN FACT OR BY LAW, OR ARISING BY REASON OF CUSTOM OR USAGE IN THE TRADE OR BY COURSE OF DEALING, INCLUDING, WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. A warranty of DKSH shall be excluded in particular in case of defects or deficiencies of the Products delivered due to (i) non-authorized, inappropriate or improper use of Products by the Customer or third parties, or (ii) negligent application of the Products by the Customer or third parties, or (iii) other reasons beyond the control of DKSH.
在不违反本合同所述责任限制条款,且除非另有书面约定,DKSH 保证其所交付的产品符合相关合同中所列明的规格。DKSH 同时保证其提供的服务将以合理的技能和谨慎进行。上述保证排除了所有其他形式的保证,无论是明示的还是默示的,无论是基于事实、法律、行业惯例、商业使用,还是交易过程产生的,包括但不限于对适销性或特定用途适用性的任何保证。如产品的缺陷或瑕疵系因以下原因造成,DKSH 的保证将被排除适用,具体包括:(i) 客户或第三方未经授权、使用不当或不适当使用产品;(ii) 客户或第三方疏忽使用产品;(iii) 其他 DKSH 无法控制的原因。
10.2 Where a valid and timely claim in respect of Products or Services is based on a breach of the warranty set forth in clause 10.1 and is submitted to DKSH in accordance with clause 9, DKSH may, at its discretion, replace, repair, re-perform or modify the Products or Services or any part thereof, or refund the full or partial price thereof, as applicable. All further claims of a Customer, including in particular any sort of damage claims, are excluded as far as permissible under applicable law.
若客户因产品或服务违反第10.1条所载的保证,并根据第9条及时向DKSH提出有效索赔, DKSH 可自行决定对相关产品或服务或其部分进行更换、维修、重新履行、修改,或全额或部分退款(视情况而定)。在适用法律允许的范围内,客户的所有其他索赔权,特别是任何形式的损害赔偿请求,均予以排除。
10.3 Any return of Products to DKSH in connection with a warranty claim can only be done upon DKSH’s prior written permission and respective instructions. Shipping costs are to be paid by the Customer. Any return of Products shall occur for the account and risk of the Customer.
任何因质保索赔而发生的产品退回,须事先获得 DKSH 的书面许可并按其相关指示进行。运输费用由客户承担。产品退回过程中所产生的费用与风险由客户自行承担。
11. Limitation of liability 责任限制
11.1 All kinds of breaches of contract and their legal consequences as well as all claims of the Customers, irrespective of the legal grounds they are based upon, are exclusively controlled by these GCS.
所有违约行为及其法律后果,以及客户的所有索赔,无论其法律依据如何,均受本《通用条款》约束。
11.2 IN NO EVENT SHALL DKSH NOR ANY OF ITS AFFILIATES OR EMPLOYEES BE LIABLE TO THE CUSTOMER OR ANY OTHER PERSON, FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFIT OR GOODWILL, FOR ANY MATTER ARISING OUT OF OR RELATING TO ANY CONTRACT, WHETHER SUCH LIABILITY IS ASSERTED ON THE BASIS OF CONTRACT, TORT OR OTHERWISE. IN ANY EVENT DKSH’S MAXIMUM CUMULATIVE LIABILITY TO THE CUSTOMER SHALL BE LIMITED TO THE INVOICE VALUE OF THE GOODS SUPPLIED AND/OR SERVICES RENDERED UNDER THE RELEVANT CONTRACT.
在任何情况下,DKSH 及其任何附属公司或员工,均不对客户或任何其他人承担因任何合同引起的或与合同相关的间接、附带、后果性或惩罚性损害赔偿责任,包括利润损失或商誉损失,无论该责任是基于合同、侵权行为或其他原因提出的。在任何情况下,DKSH 对客户的最大累计责任应仅限于相关合同项下所供应货物和/或提供服务的发票金额。
11.3 This exclusion of liability shall not be valid as far as it is contrary to mandatory law.
在与强制性法律相抵触的情况下,本免责条款无效。
12. Confidentiality 保密
12.1 The Customer shall treat all Confidential Information (as defined below) strictly confidential and shall not disclose Confidential Information, or cause or allow it to be disclosed, to any third party or use Confidential Information for any purpose other than reasonably necessary in order to fulfill its obligations under these GCS or a contract between DKSH and the Customer. The Customer shall disclose Confidential Information only to those of its officers and employees who need to know Confidential Information in connection with the fulfillment of these GCS or a contract between DKSH and the Customer and who are bound by confidentiality obligations at least as restrictive as those contained in this clause. In any event, the Customer remains liable for any breach by its officers or employees of any confidentiality obligations hereunder.
客户应对所有保密信息(如下所定义)严格保密,并且不得向任何第三方披露保密信息,也不得促使或允许第三方披露保密信息,除非是为了履行客户在本通用条款或 DKSH 与客户之间合同项下的义务所必需的合理目的。客户仅可向其需要知晓保密信息以履行本通用条款或 DKSH 与客户之间合同的工作人员和员工披露保密信息,并且这些工作人员和员工应受至少与本条款相同严格的保密义务约束。在任何情况下,客户应对其工作人员或员工违反本条款的保密义务承担责任。
12.2 “Confidential Information” means any information contained in a contract between DKSH and the Customer and any information provided by or on behalf of DKSH to the Customer (in particular but not limited to information regarding pricing, financial information, market information, methods of distribution, customer data, data of employees, manufacturing and technical information and know-how). Notwithstanding the foregoing, Confidential Information does not include information that (i) is rightfully known to the Customer at the time of disclosure as demonstrated by the Customer’s written or electronic records, (ii) is or becomes part of the public domain through no wrongful act of the Customer, (iii) has been rightfully received by the Customer from a third party authorized to make the disclosure without restriction, (iv) has been approved in writing by DKSH for release or (v) is independently developed without benefit of the Confidential Information.
“保密信息”是指 DKSH 与客户之间合同中包含的任何信息,以及 DKSH 代表或为其提供给客户的任何信息(特别但不限于定价信息、财务信息、市场信息、分销方法、客户数据、员工数据、制造和技术信息以及专有技术)。尽管有上述规定,机密信息不包括以下信息:(i)客户在披露时已合法知晓的,并有客户书面或电子记录证明;(ii)非因客户的不当行为而成为公共领域的一部分;(iii)客户已合法从被授权披露的第三方处收到的信息,且该披露没有任何限制;(iv)经 DKSH 书面批准发布的信息;或(v)客户在未利用保密信息的情况下独立开发的信息。
12.3 This clause 12 shall survive the termination or expiration of any Agreement by five (5) years.
本条保密条款在任何协议终止或到期后的五(5)年内仍然有效。
13. No Assignment 不得转让
13.1 The Customer shall not be entitled to assign a contract or any of its rights and obligations under these GCS or a contract between DKSH and the Customer without DKSH’s prior written consent.
未经 DKSH 的事先书面同意,客户不得转让本通用条款或 DKSH 与客户之间合同项下的任何权利和义务。
14. Compliance with laws 遵守法律
14.1 Unless otherwise agreed in writing, the Customer shall be responsible for compliance with statutory and regulatory requirements relating to export, import, transport, storage and use of the Products and/or Services.
除非另有书面约定,客户应有责任遵守与产品和/或服务的出口、进口、运输、储存和使用相关的法定和监管要求。
14.2 Insofar as the performance of a contract by DKSH would result or would likely result in the infringement of national, foreign or international (re-)export control laws or other laws, DKSH shall be entitled to rescind the respective contract.
如果 DKSH 履行合同将导致或可能导致违反国内、外国或国际(再)出口管制法律或其他法规,DKSH 有权解除相关合同。
14.3 If export control checks are required, the Customer will provide DKSH immediately upon request with all information pertaining to the final recipients, destination and purpose of the products to be supplied by DKSH as well as any related export control restrictions.
如需进行出口管制检查,客户应在 DKSH 提出请求时,立即提供所有与最终收货人、目的地和产品用途相关的信息,以及任何相关的出口控制限制。
14.4 In all instances, the Customer must comply with (re-)export control regulations of China, the European Union and the United States. Furthermore, the Customer shall comply with all the applicable Export Compliance Laws and Regulations in connection with the purchase of DKSH’s Products and/or Services and in connection with the resale of such Products and/or Services to the Customer’s clients/customers. For the sake of clarity, “Export Compliance Laws and Regulations” shall mean any applicable laws and regulations regarding economic sanctions, prohibitions, import, transfer, or export restrictions imposed by the United Nations (U.N.), the United States (U.S.), the European Union (E.U.) and by any other applicable country, including but not limited to China. This includes, but is not limited to:
在任何情况下,客户必须遵守 中国、欧盟和美国的(再)出口管制法规。此外,客户应遵守与购买 DKSH 产品和/或服务以及向客户的客户转售该等产品和/或服务相关的所有适用的出口合规法律和法规。为明确起见,“出口合规法律和法规”指的是联合国(U.N.)、美国(U.S.)、欧盟(E.U.)以及其他适用国家包括但不限于中国在内所施加的经济制裁、禁令、进口、转让或出口限制的任何适用法律和法规,这包括但不限于:
applicable laws and regulations regarding import, export and re-export, transfer restrictions related to military and dual-use commodities/products, software and technologies, chemical precursors (drugs and explosives), dangerous chemicals and pesticides, substances that deplete the ozone layer, etc.; and

applicable laws, regulations, United Nations Security Council resolutions, and other international sanctions, sanctions of Switzerland, the United Kingdom, the European Union, the U.S. Specially Designated and Blocked Persons List (SDN), the U.S. Export Administration Regulations (EAR) that impose trade restrictions and embargoes and prohibit certain dealings with the governments, legal entities, companies, and nationals of the countries named therein; and

applicable laws and regulations prohibiting transfers of products, services, software or technology that will directly or indirectly support nuclear explosive activities, unsafeguarded nuclear activities, nuclear fuel cycle activities, nuclear propulsion activities, or the design, development, production, stockpiling, or use of chemical weapons, biological weapons, missiles, rocket systems or unmanned aerial vehicles.
禁止转让产品、服务、软件或技术的适用法律和法规,这些产品、服务、软件或技术将直接或间接支持核爆炸活动、无保障的核活动、核燃料循环活动、核推进活动,或化学武器、生物武器、导弹、火箭系统或无人驾驶飞行器的设计、开发、生产、储存或使用。
14.5 The Products and/or Services purchased by the Customer from DKSH shall be purely used by the Customer or Customer’s business partners for civilian end-uses by civilian end-users. Therefore, the Products and/or Services shall not be used by the Customer itself and the Customer’s business partners in the design, development, production, manufacturing of military applications, nuclear, space launch vehicles, satellites, armored vehicles, unmanned aerial vehicles (UAV), target drones, reconnaissance drones, or the launch or operation of any ballistic missile systems, rocket systems, sounding rockets, cruise missile systems, or any missile delivery system for weapons of mass destruction, unless where the aforementioned applications are agreed in advance by DKSH and by the competent authorities in writing. Moreover, the Products and/or Services purchased by the Customer from DKSH will not be used for and/or in connection with, internal repression, human rights violations, production of chemical or biological weapons of mass destruction, any military or paramilitary organization, armaments, nuclear technology, or weapons.
客户从DKSH购买的产品和/或服务应仅限由客户或客户的商业合作伙伴用于民用最终用户之民用最终用途。因此,客户及其商业合作伙伴不得将产品和/或服务用于设计、开发、生产、制造军事应用、核技术、航天发射载具、卫星、装甲车辆、无人驾驶飞行器(UAV)、靶机、侦察无人机,或任何弹道导弹系统、火箭系统、探空火箭、巡航导弹系统,或任何大规模杀伤性武器的导弹投送系统,除非上述应用事先得到 DKSH 及相关主管当局书面同意。此外,客户从 DKSH 购买的产品和/或服务不得用于及/或与以下事项相关:内部镇压、人权侵犯、大规模杀伤性化学或生物武器的生产、任何军事或准军事组织、武器、核技术或武器。
14.6 The Customer shall in no event and by no means, commercialize, export or re-export the Products and/or Services purchased from DKSH, through direct or indirect means, to:

any legal entities/companies and persons on the Sanctions List of the [China], Switzerland, the United Kingdom, the European Union, the United Nations or on the U.S. Specially Designated and Blocked Persons List (SDN); and
任何位于 [中国]、瑞士、英国、欧盟、联合国或美国特别指定和封锁人员名单(SDN)上的法人/公司和个人;
any legal entities/companies and persons on the U.S. Consolidated Screening List (CSL) in case the Products and/or Services are subject to the U.S. Export Administration Regulations (EAR), without having obtained the relevant license under the U.S. EAR.
任何位于美国合并筛查名单(CSL)上的法人/公司和个人,若产品和/或服务受到美国出口管理条例(EAR)的管辖,且未获得相关许可。
14.7 Furthermore, the Customer shall always be responsible for compliance with all applicable laws and regulations related to anti-bribery, anti-corruption, conflict of interest laws, rules or regulations of similar purpose and effect, including, without limitation the OECD Convention on Combating Bribery of Foreign Public Officials in International Business Transactions 1997, sec. 322ter et seq. Swiss Criminal Code and sec. 4a Swiss Act against Unfair Competition, the US Foreign Corrupt Practices Act 1977 as amended from time to time, the UK Bribery Act 2010, and sec. 299 et sqq., sec. 331 et sqq. German Criminal Code, the German Act on Combating European Bribery, and the German Act on Combating International Bribery (hereafter collectively “Anti-Corruption Laws”).

14.8 The Customer shall indemnify, defend, and hold harmless DKSH from any and all claims damages, losses, liabilities, costs and expenses (including but not limited to court costs and attorneys' fees) arising out of any claim, inspection, audit, and etc. by regulatory authorities or other third parties and asserted against DKSH due to the Customer's failure to comply with the aforementioned obligations and agrees to reimburse DKSH for any and all resulting damages and associated expenses, provided that they are the result of the Customer's breach of duty.
客户应赔偿DKSH因客户未能遵守上述义务而引致监管机构或其他第三方向DKSH提出的任何索赔、检查、审计等所产生的任何及所有损害赔偿、损失、责任、成本及费用(包括但不限于诉讼费用及律师费),并为此抗辩及使DKSH免受损害,且同意向DKSH偿付任何及所有因此而引致的损害赔偿及相关费用,但前提是该等损害赔偿及相关费用是由客户违反责任所引致。
15. DKSH’s Business Partner Code of Conduct DKSH商业合作伙伴行为准则
15.1 The Customer and its officers, directors, employees and agents shall comply with all provisions of DKSH’s Business Partner Code of Conduct (available at https://www.dksh.com/global-en/home/about-us/sustainability#policies). Therefore, by placing any order to DKSH and/or by accepting any services from DKSH, the Customer (including its officers, directors, employees and agents) acknowledges to have taken note of DKSH’s Code of Conduct and commits to abide by it and to comply with it.
客户及其高级职员、董事、雇员及代理人应遵守DKSH商业合作伙伴行为准则(https://www.dksh.com/global-en/home/about-us/sustainability#policies)的所有条文。因此,客户(包括其主管、董事、雇员及代理人)向DKSH发出任何订单及/或接受DKSH提供的任何服务,即表示已知悉DKSH的行为准则,并承诺遵守该准则。
15.2 DKSH’s Business Partner Code of Conduct is subject to updates and/or amendments from time to time and the Customer hereby accepts such updates and/or amendments (as made available at https://www.dksh.com/global-en/home/about-us/sustainability#policies, and/or as otherwise notified by DKSH).

15.3 The Customer understands and agrees that DKSH may collect information on the Customer (via due diligence, pre-agreed audits or otherwise) to verify its compliance with DKSH’s Code of Conduct, and the Customer agrees to furnish DKSH with or grant DKSH access to such information as reasonably requested by DKSH from time to time. Where DKSH has reason to believe or suspect that the Customer is in breach and/or falls short of expectations to comply with DKSH’s Code of Conduct, the Customer acknowledges DKSH’s right to turn down business opportunities or to seek discontinuation of the relationship, unless DKSH and the Customer agree on collaborating towards establishing adequate improvement plans and actions to address DKSH’s findings resulting from due diligence, pre-agreed audits or otherwise.

16. Requirement of written form 书面形式要求
16.1 No amendments or waiver of any provision of the Agreement shall be valid unless made in writing.
任何对本通用条款的修改或放弃,除非以书面形式做出,否则无效。
17. No waiver 不弃权
17.1 No failure on the part of either party in exercising any right, power or remedy under the Agreement will operate as a waiver thereof.
任何一方未能行使通用条款项下的任何权利、权力或救济措施,不应视为放弃该权利、权力或救济措施。
18. Severability 条款独立性
18.1 In the event that any of the terms or provisions of these GCS is determined to be invalid, illegal, void or in conflict with regulations or rulings of authorities, governmental or other, or otherwise unenforceable, or if any provision or term of these GCS shall become invalid, illegal, void and/or unenforceable at any time hereafter, all other provisions of the GCS shall be severable and shall remain valid, binding and enforceable in accordance with their terms, and the parties agree that a provision which shall be determined to be or which shall become invalid, illegal, void or unenforceable, shall be substituted by another suitable provision which shall maintain the purposes and the intentions of the parties.
如果本通用条款中的任何条款或规定被认定为无效、非法、被撤销或与政府或其他当局的规定或裁决相冲突,或者因其他原因不可执行,或者如果本通用条款中的任何条款或规定在未来的任何时候变得无效、非法、被撤销和/或不可执行,则所有其他条款应可分割,并应根据其条款保持有效、具有约束力并可执行。各方同意,被认定为无效、非法、被撤销或不可执行的条款应由另一个适当的条款替代,该条款应维持各方的目的和意图。
19. Force majeure 不可抗力
19.1 DKSH shall not be liable to the Customer for any damage, loss, cost or expense which the Customer may suffer as a direct or indirect result of 1) the supply of Products and/or performance of Services that is prevented, hindered, delayed or rendered uneconomic, or 2) failure in performing any obligation, by any circumstances or events beyond DKSH’s reasonable control such as (without limitation) failure of DKSH’s supplier to deliver, lack of raw material or energy, fire, act of God, interruptions in traffic, or war, riots, acts of terrorism, strikes, lock-outs, order, law, regulation, demand or requirement of any governmental body or agency (“Event of Force Majeure”).
DKSH 对客户因以下任何原因直接或间接遭受的任何损害、损失、费用或支出不承担责任:1) 产品的供应和/或服务的履行被阻止、阻碍、延迟或变得不经济;或 2) 由于DKSH无法合理控制的任何情况或事件,包括但不限于DKSH供应商未能交货、缺乏原材料或能源、火灾、天灾、交通中断、或战争、骚乱、恐怖主义行为、罢工、停工、命令、法律、法规、任何政府机构或机构的要求或要求,未能履行任何义务(“不可抗力事件”)。
19.2 Any obligations of DKSH under any contract will be suspended for the period of the Event of Force Majeure. If the Event of Force Majeure extends beyond sixty (60) days, each party may terminate the contract with immediate effect upon written notice without any liability to the other, except that the Customer shall remain liable for payment to DKSH for any Products delivered and/or Services performed prior to termination.
在不可抗力事件发生期间,DKSH 在任何合同项下的义务将被暂停。如果不可抗力事件持续超过六十(60)天,任何一方均可通过书面通知立即终止合同,且不对对方承担任何责任,但客户仍有责任对终止前交付的产品和/或已履行的服务向 DKSH 付款。
20. Governing law / venue 管辖法律/ 管辖地
20.1 The contract(s), these GCS and all legal relations between the Customer and DKSH shall be governed exclusively by the laws of [China] to the exclusion of the laws on conflict of laws and of the United Nations Convention on Contracts and the International Sale of goods (CISG) of April 11, 1980.
合同、本通用条款以及客户与DKSH之间的所有法律关系应完全受[中国]法律管辖,并排除冲突法和1980年4月11日《联合国国际货物销售合同公约》(CISG)的适用。
20.2 Any disputes arising out of or in connection with the contract(s), these GCS or any legal relations between the Customer and DKSH shall be resolved exclusively before the courts in [Shanghai, China].
任何因合同、本通用条款或客户与 DKSH 之间的任何法律关系引起或与之相关的争议,应提交至[中国,上海]的法院诉讼解决。
21. Miscellaneous 其他
21.1 In case of any inconsistency between the Chinese and English versions of these GCS, the Chinese version shall prevail.
